As follow-up to,:y Decezber 8 letter concerning relocation
opportunities, tachod is our proposal covering the
relocation of R&D and the Development Center, wh1cb has been
approved by the 34W Executive Committee.
Tax concessions that we have negotiated with the state have
been confirmed in writing. In addition, we have received a
final draft letter from the local authorities confirming the
concessions included In.the proSiosal enclosed. While the
local agreement must be discussed at a public hearing, local
authorities have assured us that this is a formality. The
hearing is significant to the oxtent that we must have the
project approved by the CPC before we would want to proceed
with a public disclosure of our intentions.

As previously discussed, given the CPC's approval, while by
no means mandatory, It would be preferable to announce the
relocation and Macon expansion late this year or early next
year. Zither timing would trigger a $10 million change to
Tradinq Profit in 1992,
