Guaranty Agreement dated as of March 1, 1976, of British-
American Tobacco Company Limited (the "Guarantor") relating
to the 0 000,000,000 Note Agreements dated as of March 1,
1976 of B.A.T. International iinance Limited, that we have
revivwed the relevant terms of the Guarant7 Agreement and
the Note Agreements and have caused to'be made under our
supervision a rewiew of the transactions and conitition of
the Guarantor and its Subsidiaries (as defined in the Note
Agreements) during the period covered b7 the profit and
