Enclosure II RIGHTS AND OBLIGATIONS OF MEMBERS Foundinc MeTJoers Vhese members are represented on the Board of Directors, which makes decisions or. policies, programs and budgets of the Association. They are also represented at qeneral meetings to vote an modifications to the bylaws, approval of the budgets and accounts, and other matters for decision as provided in the Association's charter. Founding Members have the responsibility to staff the Advisory Group and project teams, and to finance the Secretariat and projects to the extent these expenses are not covered by "he dues of Associate and Allied Members. It is estimated that, with expanded membership, the Founding Members' contributions will support well over 90% of the Association's expenses. Founding Members are also represented at workshops for national manufacturers' associations. Certain information related to Secretariat matters, and the work of project teams, the Advisory Group and the Bcard of Directors may be made available only to Founding Members. Associate Members These members have a voice on the Board of Directors through one representative member company in their category, who is elected bv all Associate Members by a secret mail ballot. The repre;entative serves in this capacity for three years and can be re-elected bv the Associate Members 'or more than one term. He participates in Board meetings in an advisory capacity, without voting rights. Associate members may attend general meetings and speak in an advisory capacity, but without voting rights. If reoresented by a oroxy holder, that proxy holder will be an employee of the member. Each Associate Member may send one representative to work- shoos for national manufacturers' associations. Asscciate Member companies may serve on project teams, by invitation, which will be conveyed by the Secretary General. Associate MeTJ:)ers will receive in-formational mailings from e documentation in the Secretariat and have access to Secretariat's In-formation Services. BATCo document for Province of British Columbia 27 October 1999 - 2 - The dues to be paid by Associate Members are nominal, in relation to those of Founding Members, and are based on a sliding scale formula as follows: Annual turnover/sales Dues Under USS5,000,000 US$2,000 Over US$5,000,000 USS3,000 Over US$50,000,000 US$4,000 Over US$100,000,000 US$51000 The above dues may be adjusted annually in line witch changes in the official cost of living index in Belgium. Allied Members These members may attend general meetings and speak in an advisory capacity, but without voting rights. If represented by a proxy holder, that proxy holder will be an employee of the member. Allied Members may serve on pro-ect teams, by invitation, which will be conveyed by the Secretary General. Allied Members will receive infc--mational mailings frcm the Secretariat and have access to documentation in the Secre- tariat's Information Services. An Allied Member serving on a project team will receive relevant working papers. Because of the close workina relationship between the Secre- tariat and national manufacturers' associations (NMAs) , the latter will, in the course of regular contacts, have access to information not generally distributed to other Allied the annual INFOTAB Members. NMAs are also invited to workshcp.
