Dear Sir:
By agreement dated July 9, 1969, your Company and Brown
Williamson Tobacco Corporation entered into an R&D Cost
and Risk Pooling Agreement. An both parties wish to extend
that agreement beyond its initial five year period, it is
hereby agreed that the first sentence of Section 9 of the
agreement be amended to read as follows:
"This contract shall remain in force indefinitely
except that either party may terminate at any time

:n by giving not less than 180 days' notice."
